Acceptance of Terms
1.1By accessing or using the ShipEbag platform at shipebag.com (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Platform.
1.2These Terms constitute a legally binding agreement between you and ShipEbag Pte. Ltd. (UEN: 202617075G), a company incorporated in Singapore ("ShipEbag", "we", "us", "our").
1.3These Terms should be read together with our Privacy Policy, which is incorporated herein by reference.

About ShipEbag
2.1ShipEbag is Singapore's first maritime e-commerce marketplace, providing seafarers and vessel crew with access to ship stores, provisions, electronics, personal care, and welfare goods delivered directly to vessels at anchorage in Singapore waters.
2.2ShipEbag operates as an intermediary marketplace connecting seafarer customers with independent third-party vendors. ShipEbag is not itself the seller of goods listed on the Platform unless explicitly stated.
2.3Last-mile delivery to vessels at anchorage is arranged by ShipEbag through licensed launch operators and ship agents operating in Singapore waters.

Eligibility & Account Registration
3.1You must be at least 18 years of age to register and use the Platform. By registering, you represent and warrant that you meet this requirement.
3.2You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.
3.3You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support.shipebag@gmail.com if you suspect unauthorised access.
3.4One person may only maintain one active seafarer account. ShipEbag reserves the right to merge or close duplicate accounts.

Platform Use & Prohibited Conduct
4.1You agree to use the Platform only for lawful purposes and in accordance with these Terms.
4.2You must not:
(a)use the Platform to purchase or attempt to purchase controlled, prohibited, or sanctioned goods;
(b)engage in fraudulent, deceptive, or misleading conduct;
(c)attempt to circumvent or reverse-engineer any part of the Platform;
(d)impersonate any person or entity;
(e)transmit viruses, malware, or other harmful code;
(f)scrape, harvest, or collect data from the Platform without express written consent; or
(g)violate any applicable Singapore or international law or regulation.

Placing Orders
5.1By placing an order on the Platform, you make an offer to purchase the selected goods at the stated price. A binding contract is formed only upon ShipEbag's confirmation of your order by email or in-platform notification.
5.2ShipEbag reserves the right to refuse or cancel any order at its sole discretion, including where: (a) goods are out of stock; (b) payment cannot be processed; (c) the order appears fraudulent; or (d) delivery to the specified vessel is not operationally feasible.
5.3You are responsible for providing accurate vessel information (vessel name, IMO number, anchorage position, and delivery instructions). ShipEbag is not liable for failed deliveries resulting from inaccurate information provided by you.
5.4Order cut-off times and delivery windows are subject to port authority regulations and weather conditions. Estimated delivery times are indicative only and not guaranteed.

Pricing & Payment
6.1All prices displayed on the Platform are in Singapore Dollars (SGD) unless otherwise stated and are inclusive of applicable GST where required.
6.2ShipEbag reserves the right to modify prices at any time. Price changes do not affect confirmed orders.
6.3Payment is processed securely via Stripe. By making a payment, you authorise Stripe to charge the stated amount. ShipEbag does not store your card details.
6.4Delivery charges, where applicable, are displayed at checkout and form part of the total order amount.

⚠️ Important: ShipEbag does not store payment card numbers, CVV codes, or expiry dates. All card transactions are handled exclusively by Stripe.

Delivery to Vessels
7.1Delivery is arranged via licensed launch operators to vessels at anchorage in Singapore waters. Deliveries are subject to Maritime and Port Authority of Singapore (MPA) regulations and port authority approvals.
7.2ShipEbag will make reasonable efforts to deliver orders within the estimated timeframe. However, ShipEbag shall not be liable for delays caused by: port congestion, adverse weather, vessel movement, customs inspection, or other circumstances beyond our reasonable control.
7.3Delivery is deemed complete upon handover to the vessel's authorised representative or crew member at the vessel's side. You are responsible for arranging appropriate receipt of goods.
7.4Risk of loss and title to goods pass to you upon delivery to the vessel.
8
Returns, Refunds & Cancellations
8.1Due to the perishable nature of many goods and the logistical complexity of maritime delivery, returns are generally not accepted once delivery to the vessel has been completed.
8.2Refunds or replacements may be arranged in the following circumstances:
(a)goods are delivered in a damaged or defective condition, with photographic evidence provided within 24 hours of delivery;
(b)the wrong goods are delivered; or
(c)ShipEbag cancels the order prior to delivery.
8.3Order cancellations requested by the customer before dispatch will be honoured and a full refund issued. Cancellations after dispatch are not accepted.
8.4To request a refund or report a delivery issue, contact support.shipebag@gmail.com with your order number and supporting evidence.
Refunds are processed to the original payment method within 5–10 business days, subject to Stripe processing timelines.

Vendor Marketplace Terms
9.1Products on the Platform are listed and sold by independent vendor partners. ShipEbag acts as an intermediary and is not the seller of vendor-listed goods.
9.2Vendors are responsible for the accuracy of their product listings, including descriptions, images, prices, and availability. ShipEbag does not warrant the accuracy of vendor-provided information.
9.3Vendor partners are bound by a separate Vendor Partnership Agreement, which governs their obligations regarding product quality, fulfilment standards, and compliance with Singapore law.
9.4ShipEbag reserves the right to remove any product listing or suspend any vendor that violates platform standards or applicable law.
10
GST & Customs
10.1Goods delivered to vessels at anchorage in Singapore waters may be subject to Singapore Goods and Services Tax (GST) depending on whether the vessel qualifies for GST relief under IRAS regulations.
10.2Where a vessel qualifies for zero-rated or GST-exempt treatment, GST will not be charged. GST applicability is determined at checkout based on vessel details you provide.
10.3You are responsible for ensuring the accuracy of vessel information provided for GST determination. ShipEbag is not liable for incorrect GST treatment resulting from inaccurate information.
10.4Customs declarations and import permits, where required, are the responsibility of the customer unless otherwise agreed in writing.

Intellectual Property
11.1All content on the Platform, including but not limited to text, graphics, logos, icons, images, software, and the overall design ("ShipEbag Content"), is owned by or licensed to ShipEbag and is protected by Singapore and international intellectual property laws.
11.2You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any ShipEbag Content without prior written consent.
11.3By submitting reviews, feedback, or other content to the Platform, you grant ShipEbag a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display such content for Platform purposes.

Disclaimer of Warranties
12.1The Platform and all content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, to the fullest extent permitted by Singapore law.
12.2ShipEbag does not warrant that: (a) the Platform will be uninterrupted or error-free; (b) defects will be corrected; or (c) the Platform is free of viruses or harmful components.
12.3ShipEbag does not warrant the quality, safety, or fitness of goods sold by vendor partners. Product-specific warranties, if any, are provided by the relevant vendor or manufacturer.

Limitation of Liability
13.1To the fullest extent permitted by applicable law, ShipEbag shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform.
13.2ShipEbag's total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount paid by you for the specific order giving rise to the claim.
13.3Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by Singapore law.

Indemnification
14.1You agree to indemnify, defend, and hold harmless ShipEbag, its directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your breach of these Terms; or (c) your violation of any law or third-party rights.

Account Suspension & Termination
15.1ShipEbag may suspend or terminate your account at any time without notice if you violate these Terms, engage in fraudulent conduct, or if required by applicable law or regulation.
15.2You may close your account at any time by contacting support.shipebag@gmail.com. Closing your account does not affect obligations for pending orders.
15.3Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including payment obligations, intellectual property, and limitation of liability) shall continue to apply.

Changes to the Platform
16.1ShipEbag may modify, suspend, or discontinue any part of the Platform at any time without notice. ShipEbag shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

Privacy
17.1Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in accordance with the Personal Data Protection Act 2012 (Singapore).
18
Governing Law & Dispute Resolution
18.1These Terms are governed by and construed in accordance with the laws of Singapore.
18.2Any dispute arising from or in connection with these Terms shall first be referred to good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the non-exclusive jurisdiction of the Singapore courts.
18.3For consumer disputes, you may also contact the Consumers Association of Singapore (CASE) or the Small Claims Tribunal where applicable.
19
Amendments
19.1ShipEbag reserves the right to amend these Terms at any time. Material changes will be communicated via email and Platform notice at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the amended Terms.
19.2The current version of these Terms is always available at shipebag.com/terms.html.
